Interpretation

• "Luminary", "we", "us" refer to Luminary Incorporated Ltd (Co. No. 16459304).
• "Client", "you" refer to any individual or entity engaging Luminary for services.
• "Services" means our LSM Property Services and/or Company Services as agreed in writing.
• "Agreement" means these Terms together with any signed service schedule or instruction letter.

Our services

Luminary Incorporated Ltd provides LSM Property Services (property management, maintenance co-ordination and tenant services) and Company Services (general business administration, company secretarial services and corporate compliance). The precise scope for each instruction will be set out in a written agreement or instruction letter.

Engagement

An engagement commences upon your signed acceptance of a service agreement or Luminary's written confirmation of acceptance. We reserve the right to decline any instruction at our absolute discretion. Where a property or company is jointly held, all owners must authorise the engagement.

Fees & payment

Fees are as set out in the applicable service agreement. Management fees are deducted from rental income prior to remittance. One-off fees are invoiced and payable within 14 days. Late payment may attract interest at 4% per annum above the Bank of England base rate, accruing daily.

Client obligations

• Provide accurate and complete information at all times
• Maintain appropriate insurance for all properties under our management
• Ensure properties are legally compliant before any tenancy commences
• Respond to requests for authorisation within a reasonable timeframe
• Notify us promptly of any material change affecting the instruction
• Pay all fees and charges in accordance with these Terms

Limitation of liability

Luminary will carry out its services with reasonable skill and care. Our liability for any claim shall not exceed the total fees paid in the 12 months preceding the event giving rise to the claim. We shall not be liable for indirect or consequential losses, nor for the acts of third-party contractors where reasonable care was exercised in their selection. Nothing herein excludes liability for death or personal injury caused by negligence.

Termination

Either party may terminate by giving not less than two calendar months' written notice unless otherwise specified. Luminary may terminate with immediate effect in the event of non-payment, false information, conduct placing staff at risk, or a requirement to act unlawfully. All accrued fees remain due on termination.

Intellectual property

All content on the Luminary Incorporated Ltd website is the property of Luminary Incorporated Ltd and protected by applicable intellectual property law. No content may be reproduced without our prior written permission.

Confidentiality

Both parties agree to maintain the confidentiality of information received from the other that is identified as confidential or is reasonably apparent to be so. This obligation does not apply to information that is publicly available or required to be disclosed by law.

Governing law

These Terms are governed by the laws of England and Wales, save where the instruction relates to property or a company in another jurisdiction, in which case the laws of that jurisdiction apply to the extent required by local law.
